1. Who We Are and Acceptance of Terms
The Vincony platform ("Service") is operated by VINCONY AI LTD, a company registered in England and Wales (Company Number: 17047337), with its registered office at 3rd Floor, 86-90 Paul Street, London EC2A 4NE, England ("Vincony", "we", "us").
By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"), our Acceptable Use Policy, Privacy Policy and Refund & Cancellation Policy (all available at vincony.com/legal), which are incorporated by reference. If you do not agree, do not use the Service.
We may update these Terms from time to time. For material changes we will give you at least 14 days' notice by email or in-app notice before the changes take effect. Continued use after the effective date constitutes acceptance. If you do not accept a change, you may cancel your subscription before it takes effect.
2. Description of Service
Vincony provides access to third-party artificial intelligence models through a unified, credit-based platform. The Service includes text, image, video, audio and music generation, AI agent tools, team workspaces, a template/asset marketplace, API access (on eligible plans) and model fine-tuning (on eligible plans). Vincony acts as an intermediary and does not develop the underlying AI models.
3. Orders and Payment
When you purchase a subscription or credit pack, you enter into a purchase transaction with Vincony AI Ltd, the seller of record for your order. Card payments are processed securely by our payment processor, Stripe (Stripe Payments Europe, Ltd.); Vincony does not store your card details. Marketplace and partner payouts are disbursed separately via Stripe Connect.
- Prices and tax. Prices are displayed in USD. Applicable sales tax or VAT may be added at checkout based on your billing location where we are required to collect it; the amount is shown before you confirm payment. Business customers can enter company details and a VAT/tax number at checkout.
- Invoices and receipts. Invoices and payment receipts are issued by Vincony via Stripe and are available from your billing settings.
- Statement descriptor. Charges appear on your card statement as VINCONY (or a similar descriptor).
- Payment issues and refunds. Refunds are handled by Vincony in accordance with our Refund & Cancellation Policy (vincony.com/legal/refunds). Contact [email protected] and we'll process it directly.
4. Account Registration
You must create an account to access the Service. You agree to provide accurate, current information and to keep your credentials confidential. You are responsible for all activity under your account. You must be at least 13 years old to use Vincony. If you are between 13 and 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Purchases require you to be at least 18 or have a parent or guardian complete the purchase.
5. Plans, Credits and Billing
Access to AI models requires credits. How credits work:
5.1 Plan (monthly) credits. Each paid plan includes a monthly credit allowance (Starter 750 · Pro 1,500 · Power 5,000 · Business 15,000). Plan credits are granted at the start of each billing cycle, reset when the cycle renews, and do not roll over — unused plan credits from one cycle are not carried into the next. Annual plans are billed once per year at a discounted rate (approximately 18–20% off) and receive the same monthly credit allowance each month of the subscription year.
5.2 Top-up credits. Top-up credit packs (from $10 to $1,000) can be purchased at any time while you hold an active paid subscription. Top-up credits do not reset at the end of a billing cycle — they roll over and remain available for as long as your paid subscription remains active.
5.3 Credit expiry and forfeiture. Credits are a prepaid means of accessing the Service. They have no cash value, are not redeemable for money (except as set out in the Refund Policy or where required by law), and are non-transferable except through features we provide (such as credit gifting and team workspace pooling). Credits expire as follows:
- Plan credits expire at the end of the billing cycle in which they were granted.
- Top-up credits remain usable for a 30-day grace period after your paid subscription ends (whether by cancellation, non-payment after the payment-retry period, or expiry). After the 30-day grace period, unused top-up credits are forfeited. Resubscribing within the grace period preserves them in full.
- Promotional, referral or gifted credits granted to Free-plan users who have never held a paid subscription do not expire while the account remains active.
5.4 Credit consumption. Credits are consumed per generation based on the model and feature used. Current per-model costs are shown in the app before you run a generation. We may adjust credit costs for individual models as our underlying provider costs change; adjustments apply to future generations only.
5.5 Renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You authorise us to charge your stored payment method (via Stripe) the then-current plan price at each renewal. We will notify you in advance of any price increase, and you may cancel before it takes effect.
5.6 Plan changes. You may upgrade or downgrade at any time from your Dashboard. On a plan change your monthly credit allowance is updated to the new plan. To prevent abuse, a mid-cycle plan change grants a fresh credit allowance at most once per billing cycle; further plan changes in the same cycle update your plan without re-granting credits.
5.7 Team seats. The Business plan includes team workspaces; additional seats are billed at $25 per seat per month. Seats renew with the subscription.
5.8 Free trial. All paid plans include a 7-day free trial. A valid payment method is required to start a trial. You will not be charged during the trial. At the end of the 7-day trial, your payment method will automatically be charged the subscription fee for the plan you selected unless you cancel before the trial expires. You may cancel at any time during the trial at no charge via your Dashboard (Manage Plan → Cancel subscription) or by emailing [email protected]. Only one free trial is available per person. We may use reasonable measures (including normalising email aliases) to prevent multiple trials, and returning subscribers who have previously held a paid plan are not eligible for an additional trial. The Free plan (100 credits to start) does not require a payment method and is available indefinitely.
6. Cancellation and Refunds
You may cancel your subscription at any time in the app: open your Dashboard, choose Manage Plan, and select Cancel subscription (or email [email protected]). When you cancel:
- Your subscription remains active until the end of the current billing period; no further charges are made after cancellation takes effect.
- You retain access to paid features and remaining credits (plan and top-up) until that date.
- When the subscription ends, remaining plan credits expire; remaining top-up credits stay usable for a further 30 days (Section 5.3), after which they are forfeited.
- Your data is retained for 60 days after your subscription expires — you can resubscribe during that period to restore access — and is then permanently deleted.
Refunds are governed by our Refund & Cancellation Policy (vincony.com/legal/refunds): in summary, a 14-day, unused-credits policy — full refund within 14 days of a charge if you have used 10% or less of the period's included credits, a pro-rated refund for the unused portion otherwise, and top-up packs refundable within 14 days if unused. The 14-day window applies to every charge, including renewals. Your statutory rights are unaffected.
7. Acceptable Use
You agree not to use the Service to generate content that is illegal, harmful, defamatory, obscene, or violates any third-party rights. Detailed restrictions are set out in our Acceptable Use Policy (vincony.com/legal/acceptable-use), which forms part of these Terms. In particular you may not:
- generate or distribute illegal content, CSAM, non-consensual intimate imagery, or content that promotes terrorism or violence;
- attempt to bypass content safety filters, model restrictions or credit metering;
- resell, redistribute, or sublicense access to the Service or raw API access — API keys are for your own applications and end users; wrapping the Vincony API as a general-purpose model-access product is prohibited;
- use automated systems to abusively consume credits or interfere with the platform.
Vincony may suspend or terminate accounts that violate these terms.
8. API Access
API access is available on the Power plan and above. API usage consumes credits from the same balance as in-app usage, and is subject to fair-use rate limits stated in the developer documentation. You are responsible for keeping API keys secret and for all usage under your keys. The no-resale restriction in Section 7 applies to API usage.
9. Fine-Tuning
Eligible plans may fine-tune supported models on data you upload. Your fine-tuning data and the resulting fine-tuned model are used solely to provide the fine-tuned model to you — we do not use your training data to train models for other customers or for Vincony's own purposes. Fine-tuning jobs consume credits at the rate shown before submission; if a job fails, the credits charged for that job are automatically refunded to your balance. Training runs on third-party infrastructure (see our Sub-processors page at vincony.com/legal/sub-processors); you must have the necessary rights to any data you upload.
10. Marketplace and Creator Payouts
The marketplace allows eligible users to list and acquire prompts, templates, workflows and other assets ("Items"), priced in credits.
- Listing. By listing an Item you grant Vincony a non-exclusive licence to host, display and deliver the Item to buyers, and you grant buyers a licence to use the Item within the Service. You warrant that you have all rights needed to list the Item and that it complies with the Acceptable Use Policy.
- Revenue share. When your paid Item is purchased, 70% of the credit price is credited to you as earned credits; Vincony retains the remainder as a platform fee.
- Cash-out. Earned marketplace credits can be cashed out at US$0.01 per earned credit, with a minimum balance of 5,000 earned credits (US$50) per payout. Payout requests are subject to review (including anti-fraud review) before funds are sent, and require a completed payout account with our payout provider, including any identity verification it requires.
- Taxes. Creators are responsible for their own taxes on payout income.
- Removal. We may remove Items that violate these Terms or the Acceptable Use Policy, and may reverse earned credits attributable to fraudulent purchases.
11. Intellectual Property and AI Outputs
Content you generate using the Service belongs to you, subject to any applicable third-party model provider terms. You grant Vincony no ownership rights over your generated content. To operate the Service we process your prompts and outputs as described in the Privacy Policy (hosting, delivering, and displaying them to you and those you share them with). Vincony's branding, design, and platform code remain the intellectual property of Vincony.
You are responsible for your use of outputs, including confirming you have the rights needed for your intended use. Note that the copyright status of AI-generated works varies by jurisdiction and some outputs may not be protectable, or may resemble other users' outputs from similar prompts.
12. Data and Privacy
Your use of the Service is subject to our Privacy Policy (vincony.com/legal/privacy). We do not use your prompts or generated content to train AI models. Generation logs are retained for 90 days for your convenience and are then permanently deleted. Business customers processing personal data through the Service may enter into our Data Processing Agreement (vincony.com/legal/dpa).
13. Disclaimers; No Professional Advice
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. AI-generated content may contain errors, biases, or inaccuracies. You are responsible for reviewing and validating all outputs before use.
No professional advice. AI-generated outputs — including outputs of the Legal Advisor, legal-document, health, finance or similar tools — are informational drafts only. They are not legal, medical, financial, tax or other professional advice; no solicitor–client or other professional relationship is created; Vincony is not a law firm and is not regulated by the Solicitors Regulation Authority. Always consult a qualified professional before acting on AI-generated content.
Availability. We target 99.9% monthly uptime but do not contractually guarantee availability, uninterrupted access, or access to any specific model, except where a separate written SLA is agreed. Third-party models may be modified, deprecated or withdrawn by their providers; we may substitute reasonably equivalent models.
Nothing in these Terms limits your statutory rights as a consumer, including under the Consumer Rights Act 2015 (digital content must be of satisfactory quality, fit for purpose and as described).
14. Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Subject to that, and to the maximum extent permitted by law: (a) Vincony shall not be liable for any indirect, incidental, special, or consequential damages, or loss of data, revenue, profits or goodwill, arising from your use of the Service; and (b) Vincony's total aggregate liability arising out of or in connection with the Service shall not exceed the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim, or £100 if you have made no payments.
15. Termination and Suspension
You may stop using the Service and cancel at any time (Section 6). Vincony may suspend or terminate your account: (a) immediately for serious or repeated violation of these Terms or the Acceptable Use Policy, fraud, or legal necessity; or (b) for any other reason with at least 30 days' notice, in which case we will refund the unused portion of any prepaid fees. Sections 11–14 and 16–23 survive termination.
16. AI-Specific Disclaimers
No Professional Advice: AI-generated outputs are not professional, legal, medical, financial, or any other form of expert advice. You must independently verify all outputs before relying on them.
No Guarantee of Accuracy: AI models may produce inaccurate, incomplete, biased, or misleading content. Vincony does not warrant the accuracy, reliability, or completeness of any AI-generated output.
Regulated Industries: If you use AI outputs in regulated industries (healthcare, finance, legal, etc.), you are solely responsible for ensuring human oversight and compliance with applicable professional standards and regulations.
Model Provider Data Handling: Prompts are transmitted to third-party AI model providers for processing. Each provider has their own data handling and retention policies. Vincony does not control how model providers process data beyond our contractual agreements with them.
Safety-Critical Applications: You must not use AI outputs in safety-critical applications (medical diagnosis, autonomous systems, critical infrastructure) without appropriate human review and validation.
17. Voice Generation & Cloning
Consent Requirement: You must have explicit, informed consent from the voice owner before cloning or reproducing any person's voice using the Service. You must be able to demonstrate proof of consent upon request.
Prohibition on Impersonation: You may not use voice cloning or generation features to impersonate any individual for the purpose of fraud, deception, harassment, or any unlawful activity. This includes but is not limited to creating voice content that could reasonably be mistaken for the real person without their knowledge and consent.
Speaker Rights: The rights of the original speaker remain with them at all times. Creating a voice clone does not transfer any intellectual property rights, personality rights, or publicity rights from the speaker to the user.
UK Online Safety Act 2023: Users must comply with the UK Online Safety Act 2023 which may impose duties regarding AI-generated voice content. Creating non-consensual synthetic voice content of real individuals may constitute a criminal offence.
18. Image & Video Generation
Deepfake Prohibition: You may not use the Service to create realistic depictions of real, identifiable individuals without their explicit consent. This includes photorealistic images and videos that could reasonably be mistaken for authentic media.
UK Online Safety Act 2023: The creation and distribution of deepfake content may constitute a criminal offence under the UK Online Safety Act 2023, particularly non-consensual intimate images and content designed to cause harm.
Media Authenticity: You acknowledge that AI-generated images and videos may be indistinguishable from real media. You are responsible for clearly labelling AI-generated content where required by law or where failure to do so could cause deception or harm.
No Liability for Output Content: Vincony does not review or approve generated images or videos. You are solely responsible for ensuring that all generated visual content complies with applicable laws, including copyright, defamation, privacy, and data protection laws.
19. Music & Audio Generation
Copyright Responsibility: AI-generated music may unintentionally resemble existing copyrighted works. You are solely responsible for ensuring that any generated music you use commercially does not infringe the intellectual property rights of third parties.
No Replication of Specific Artists: You may not use the Service with the intent to closely replicate the distinctive style, voice, or sound of specific copyrighted artists or performers for commercial distribution. While genre and mood descriptions are permitted, prompts specifically designed to mimic a named artist's protected expression may violate copyright or performer's rights.
Commercial Use: You may use AI-generated music commercially, subject to the above restrictions. Vincony does not warrant that generated music is free from third-party intellectual property claims.
20. Legal Advisor Tool
Not Legal Advice: The Legal Advisor tool provides AI-generated informational content only. It does not constitute legal advice, and no solicitor-client relationship is created by your use of this feature.
No Solicitor-Client Relationship: Vincony is not a law firm, does not employ solicitors for the purpose of providing legal advice through the Service, and is not regulated by the Solicitors Regulation Authority.
Consult a Qualified Professional: You must consult a qualified solicitor or legal professional for advice specific to your circumstances before taking any action based on AI-generated legal information. AI-generated legal content may be inaccurate, outdated, or inapplicable to your jurisdiction.
Liability Exclusion: To the maximum extent permitted by law, Vincony excludes all liability for any loss or damage arising from reliance on AI-generated legal information.
21. AI Transparency & Labelling
AI-Generated Content Disclosure: Vincony is committed to transparency regarding AI-generated content. We encourage users to disclose when content has been generated using AI tools, particularly in contexts where the audience might reasonably expect human-created content.
User Obligation: Where required by applicable law, regulation, or industry code of practice — including any requirements arising from the UK AI Safety Institute framework or DSIT guidance — you must clearly label or disclose that content was generated using AI.
Metadata & Watermarking: Vincony may include metadata or invisible watermarks in generated content to indicate AI origin. You must not remove, alter, or obscure any such indicators where doing so would be unlawful or deceptive.
22. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales, and disputes are subject to the jurisdiction of the courts of England and Wales — except that if you are a consumer resident in the UK or EU, you retain the benefit of any mandatory consumer-protection rules of, and may bring proceedings in, the country where you live.
